Nutzungsbedingungen der TEQPORT Services GmbH (TEQPORT) für das Angebot von Online Auktionen unter https://auctions.teqport.com (Stand: Juli 2013)

Die TEQPORT Services GmbH, Merscheiderstraße 3, 42699 Solingen, betreibt unter der URL: https://auctions.teqport.com einen Auktionsbereich für gewerblich genutzte vorwiegend gebrauchte technische Geräte, Ersatzteile, Altmaterialien und Systeme der IT-, Telekommunikations-, Schienenfahrzeug-Industrie (im Weiteren „Güter“). Der Auktionsbereich ist nur für registrierte NUTZER (Käufer) zugänglich und ermöglicht es TEQPORT Waren im eigenen Namen und auf eigene Rechnung gegen Höchstgebot zum Verkauf anzubieten und Käufern Angebote auf diese Waren abzugeben.

Ein Kaufvertrag kommt ausschließlich zwischen TEQPORT und dem Höchstbietenden Käufer im Wege eines Online-Verkaufs (im Weiteren „Online-Auktion“) zu Stande. Näheres ist in den Auktionsbedingungen geregelt (https://auctions.teqport.com/index/auctions-and-terms-of-advertising/).

Die Nutzung des Auktionsbereiches erfolgt auf Basis dieser Nutzungsbedingungen. Der Auktionsbereich und die Nutzungsbedingungen stehen in deutscher Sprache zur Verfügung.

1. Geltungsbereich, Änderungen der Bedingungen

a. Diese Bedingungen zur Nutzung des Auktionsbereiches auf https://auctions.teqport.com gelten für sämtliche NUTZER ausschließlich. Etwaige von diesen Nutzungsbedingungen abweichende oder diesen Nutzungsbedingungen widersprechende Bedingungen der NUTZER werden abbedungen, sofern TEQPORT diesen nicht im Einzelnen schriftlich zugestimmt hat.
b. TEQPORT behält sich vor, diese Nutzungsbedingungen jederzeit und ohne Angabe von Gründen zu ändern. In diesem Fall erfolgt ein Hinweis auf im Auktionsbereich, den der NUTZER durch anklicken bestätigen muss, um die Nutzung des Auktionsbereiches fortsetzen zu können. Mit dem Anklicken des Hinweises und der Fortsetzung der Nutzung stimmt der NUTZER der jeweiligen Änderung der Nutzungsbedingungen zu; hierüber wird ein separater Hinweis auf im Auktionsbereich erteilt.
 
2. Inhalt und Verfügbarkeit 

a. TEQPORT ist berechtigt, nach freiem Ermessen alle Bereiche des Angebotes zu modifizieren, zu ergänzen oder zu entfernen.

b. Das Angebot ist nur im Rahmen des aktuellen Standes der Technik nutzbar. Technische Störungen des Stromversorgungs-/oder Übertragungsnetzes, Hardware-/Softwarefehler, Kapazitätsengpässe, sicherheits- oder wartungsbedingte Unterbrechungen können den Umfang der Nutzungsmöglichkeit beeinträchtigen. Es wird keine Gewähr dafür geboten oder Haftung dafür übernommen, dass die Plattform stets in vollem Umfang nutzbar ist.

 
3. Registrierung
a. Registrierungsvoraussetzungen
Die Registrierung ist nur Personen (juristischen oder natürlichen Personen) erlaubt, die Unternehmer im Sinne des bürgerlichen Gesetzbuches sind, d.h. in Ausübung ihrer gewerblichen oder selbstständigen beruflichen Tätigkeit handeln. Ein Anspruch auf Zulassung besteht nicht.
b. Abgefragte Daten
Zur Registrierung hat der NUTZER eine Maske auszufüllen. Die in dem Formular abgefragten Daten sind vollständig und richtig vom NUTZER anzugeben. Die entsprechend bezeichneten Angaben sind zwingend.
Der NUTZER muss die zur Registrierung erforderlichen Daten wahrheitsgemäß angeben. TEQPORT behält sich vor, NUTZER, deren Daten unvollständig oder offensichtlich falsch sind sowie NUTZER, die durch technische Umgehung des Formulars eine Registrierung herbeigeführt haben, zu sperren. Sofern nach der Registrierung eine Änderung der abgefragten Daten eintritt, ist der NUTZER verpflichtet, diese Änderungen umgehend mitzuteilen. Eine gegebenenfalls erforderliche Einwilligung in die vorgenannte Nutzung der personenbezogenen Daten des NUTZERS erfolgt gesondert. Ohne eine solche gegebenenfalls erforderliche Einwilligung ist die Registrierung nicht vollständig und wird daher abgelehnt.

 c. Benutzername und Passwort

Der Benutzername und das Passwort sind nicht auf Dritte übertragbar. Der NUTZER ist insbesondere gehalten, sein Passwort in regelmäßigen Abständen zu ändern, um die Gefahr des unbefugten Zugriffs durch Dritte zu minimieren.

 d. Registrierungsprozess
Der NUTZER hat bei der Registrierung die Möglichkeit, nach Ausfüllen der Maske etwaige Korrekturen der eingetragenen Daten vorzunehmen, ehe er die Registrierungsanfrage durch Anklicken des Buttons „REGISTER“ an TEQPORT abschickt. TEQPORT wird dem NUTZER den Eingang der Registrierungsanfrage mit einer E-Mail bestätigen.
Die Registrierungsanfrage wird von TEQPORT geprüft. Im Falle des positiven Ausgangs dieser Prüfung erhält der NUTZER eine weitere E-Mail, mit der dem NUTZER die entsprechenden Nutzerrechte mitgeteilt werden.

Gleichzeitig erfolgte die technische Freischaltung, die dem NUTZER die sofortige Nutzung der Plattform ermöglicht. Die Übermittlung der Zugangsdaten gilt als Annahme der Registrierungsanfrage.  

4. Umfang der Nutzungsrechte

a. TEQPORT bietet die Nutzung des von ihr erstellten und verwalteten Angebotes für registrierte NUTZER an.
b. Der Umfang der Nutzungsrechte ergibt sich aus den zwischen TEQPORT und den jeweiligen Zugangsberichtigen bzw. deren Unternehmen geschlossenen Verträgen. In den Verträgen werden die jeweiligen Zugangsstufen und die jeweils damit verbundenen Nutzungsrechte festgelegt. TEQPORT behält sich – unter Beachtung der geschlossenen Verträge – eine jederzeitige Änderung des Modells sowie der Konditionen vor.

  
5. Nutzungsdauer 
a. Die Nutzung erfolgt auf unbestimmte Zeit. TEQPORT ist – sofern nicht in separaten Verträgen etwas Abweichendes geregelt ist – berechtigt, die Nutzungsmöglichkeit jederzeit mit einer Frist von 10 Tagen zu kündigen.

b. Unabhängig davon kann TEQPORT das Nutzungsrecht jederzeit aus wichtigem Grund außerordentlich beenden. Ein wichtiger Grund für eine solche außerordentliche Beendigung liegt insbesondere vor, wenn

● der NUTZER (nachweisbar vorsätzlich bzw. grob fahrlässig) gegen diese Nutzungsbedingungen verstößt, oder

● der NUTZER bei der Registrierung falsche Angaben gemacht hat, oder
● der NUTZER bei Erfüllung des geschlossenen Geschäfts unzuverlässig ist bzw. TEQPORT Kenntnis von wiederholten, schuldhaften Vertragsverstößen im Rahmen der über den Auktionsbereich zustande gekommenen Verträge erlangt.  

6. Pflichten der NUTZER, Datenbankrechte, sonstige Rechte 
a. Der NUTZER ist verpflichtet, die durch TEQPORT bereitgestellten Informationen ausschließlich zu ihrem vorgesehenen Zweck zu benutzen und jede sonstige missbräuchliche Nutzung zu unterlassen. Eine missbräuchliche Nutzung ist insbesondere gegeben, wenn

● die Nutzung zur Vornahme von Geschäften, die gegen die Gesetze oder gegen die guten Sitten verstoßen, erfolgt, oder

● die Nutzung selbst gegen die Gesetze oder die guten Sitten verstößt oder
● die Nutzung unlautere Geschäftspraktiken beinhaltet, darstellt oder unterstützt.
Der NUTZER wird die ihm im Rahmen der Nutzung des Auktionsbereiches bzw. im Zuge der Vertragsabwicklung bzw. anderweitig bekannt werdenden, unlauteren Geschäftspraktiken von anderen NUTZERN unverzüglich TEQPORT mitteilen.

b. Das Urheberrecht sowie sonstige etwaige Rechte an allen im Auktionsbereich veröffentlichen Informationen und ihrer Gestaltung sind gesetzlich geschützt und werden vollumfänglich vorbehalten. Das Kopieren, Verbreiten, Ausstellen, Wiedergeben oder sonstige Nutzen des Auktionsbereiches oder ihrer Inhalte ist verboten, sofern dies nicht für die persönliche, vertragsgemäße und zweckentsprechende Nutzung des Auktionsbereiches erfolgt.

Mit Zulassung durch TEQPORT nach Maßgabe dieser Bestimmungen ist der NUTZER berechtigt, den Auktionsbereich im Rahmen der durch §§ 87 a ff. UrhG gesteckten Grenzen im normalen Geschäftsgang zu nutzen.

d. Die im Auktionsbereich eingetragenen bzw. dafür verwandten Kennzeichnungsrechte und Marken unterliegen gesetzlichem Schutz. Sie dürfen ohne entsprechende Zustimmung nicht verändert oder benutzt oder sonst wie verwendet werden. Dies gilt auch für Hinweise auf solche Rechte.  

7. Links und sonstige fremde Inhalte

Sofern vom Auktionsbereich auf andere Websites verwiesen wird oder Links zu anderen Websites bestehen, die von Dritten betrieben werden, übernimmt TEQPORT keine Verantwortung für deren Inhalte, es sei denn, TEQPORT hat von den Inhalten Kenntnis und es ist technisch möglich und zumutbar, die Nutzung der Links im Falle der rechtswidrigen Inhalte zu verhindern. Es wird darauf hingewiesen, dass es sich bei den Inhalten der von Dritten betriebenen Seiten um fremde Inhalte handelt, die sich TEQPORT ausdrücklich nicht zu eigen macht und auf die TEQPORT keinen Einfluss hat. Eine Haftung für solche Inhalte wird generell nicht übernommen.

8. Haftung 
a. TEQPORT haftet nur für Vorsatz und grobe Fahrlässigkeit sowie bei Verletzung einer vertragswesentlichen Pflicht (Kardinalpflicht). Wesentliche Vertragspflichten sind solche Verpflichtungen, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung die andere Partei regelmäßig vertraut oder vertrauen darf. aa. Im Falle einer leicht fahrlässigen Verletzung einer Kardinalpflicht ist die Haftung von TEQPORT auf bei Vertragsschluss vorhersehbare, vertragstypische Schäden beschränkt. Bei leicht fahrlässiger Verletzung von Nebenpflichten, die keine Kardinalpflichten sind, haftet TEQPORT nicht. Für die Fälle der anfänglichen Unmöglichkeit haftet TEQPORT nur, wenn ihr das Leistungshindernis bekannt war oder die Unkenntnis auf grober Fahrlässigkeit beruht, es sei denn, es handelt sich dabei um eine Kardinalpflicht. bb. Die vorstehenden Haftungsausschlüsse gelten nicht bei arglistigem Verschweigen von Mängeln oder bei Übernahme einer Beschaffenheitsgarantie, für die Haftung für Ansprüche aufgrund des Produkthaftungsgesetzes sowie für Körperschäden (Leben, Körper, Gesundheit). Eine Änderung der Beweislast zum Nachteil des NUTZERS ist hiermit nicht verbunden. cc. Soweit die Haftung von TEQPORT ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung ihrer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen. Mit Ausnahme von Ansprüchen aus unerlaubter Handlung verjähren Schadensersatzansprüche des NUTZERS für die nach dieser Ziffer die Haftung beschränkt ist, in einem Jahr gerechnet ab dem gesetzlichen Verjährungsbeginn.
b. Der NUTZER verpflichtet sich, TEQPORT im Innenverhältnis auf erstes Anfordern von allen etwaigen Ansprüchen Dritter, gleich aus welchem Rechtsgrund, freizustellen, die auf rechtswidriger Handlung des NUTZERS oder inhaltlichen Fehlern der von diesem zur Verfügung gestellten Informationen beruhen. Dies gilt insbesondere für Urheber-, Datenschutz-, Marken- und Wettbewerbsrechtsverletzungen.

9. Datenschutz
TEQPORT wird sich bei Erhebung, Verwertung und Weitergabe personenbezogener Daten an die datenschutzrechtlichen Bestimmungen des BDSG und TMG halten. Bitte sehen Sie dazu die Datenschutzerklärung ein.  https://auctions.teqport.com/index/privacy/

10. Allgemeine Bestimmungen

a. Die Nutzung des Auktionsbereiches unterliegt ausschließlich deutschem Recht, unter Ausschluss des UN-Kaufrechts.

b. Gerichtsstand ist, soweit es sich bei den NUTZERN um Kaufleute handelt, oder bei Personen, die ihren Sitz nicht innerhalb Deutschlands haben, der Sitz von TEQPORT; TEQPORT ist jedoch berechtigt, den NUTZER an einem anderen gesetzlich zulässigen Gerichtsstand zu verklagen.

c. Sollte eine oder mehrere der vorstehenden Bestimmungen ganz oder teilweise unwirksam sein oder werden, so wird hierdurch die Gültigkeit der übrigen Bestimmungen nicht berührt. Die unwirksame Bestimmung ist durch eine rechtsgültige Bestimmung zu ersetzen, die den erkennbar angestrebten wirtschaftlichen Zweck der unwirksamen Bestimmung möglichst nahe kommt. Gleiches gilt im Falle einer Lücke dieser Bedingungen.

TEQPORT Services GmbH, Merscheider Straße 3, 42699 Solingen, operates an auction area for mostly used technical devices, replacement parts, end-of-life materials and systems for the IT, telecommunications and rail industries (hereinafter “Goods”) for commercial purposes. The auction area is only accessible to registered USER (buyers) and allows TEQPORT to offer products for sale to the highest bidder in its own name and for its own account, and to provide buyers with offers of these products.

Purchase contracts shall exclusively come into being between TEQPORT and the highest bidder in an online sale (hereinafter “Online Auction”).

The use of the auction area shall occur on the basis of these terms of use. The auction area and the terms of use are available in German.

1. Scope, amendments to terms

a. These terms for the use of the auction area at https://auctions.teqport.com apply exclusively to all USERS. Any terms pertaining to the USER which deviate from or contradict these terms of use shall not apply, unless TEQPORT has provided its agreement to this in the individual case.
b. TEQPORT reserves the right to amend these terms of use at any time without giving a reason. In such a case a notice will pop up in the auction area, which the USER will have to confirm by clicking in order to continue using the auction area. By clicking the notice and continuing to use the auction area the USER agrees to the amendment in question; a separate notice of this will be given in the auction area.

2. Content and availability

a. TEQPORT is entitled to modify, extend or remove all areas of its range at to its reasonable discretion.

b. The range may only be used within the scope of current technology. Technical malfunctions in the power or transmission grid, hardware and software errors, capacity bottlenecks and interruptions for security or maintenance reasons may affect the scope of usability. No guarantee is offered and no liability accepted for the full and constant usability of the platform.

 
3. Registration
a. Registration requirements
Registration is only permitted for persons (legal or natural persons) who are businesspeople as per the German Civil Code (BGB), i.e. are acting in line with their commercial or independent professional activity. There is no legal entitlement to approval.
b. Information requested
In order to register the USER must fill out a form. The information requested in the form must be filled out completely and accurately by the USER. The information marked as such is mandatory.
The USER must truthfully provide the information required for registration. TEQPORT reserves the right to block USERS whose data is incomplete or obviously false as well USERS who manage to register by technical bypassing of the form. Should the information requested changes after registration, the USER is obliged to inform us immediately of these changes. Any required approval in the above use of the USER’s personal data shall occur on a case-by-case basis. Without any such required approval the registration is incomplete and will be rejected as such.

c. Username and password

User names and passwords cannot be transferred to third parties. In particular, the USER is obliged to change his or her password at regular intervals in order to minimise the risk of unauthorised access by third parties.

d. Registration process
On registration the user has the option of making any corrections to the information entered after filling out the form, but before submitting the registration request to TEQPORT by clicking the “REGISTER” button. TEQPORT will confirm its receipt of the registration request with an email.
The registration request will be checked by TEQPORT. If this check produces a positive result the USER will receive a further email providing the USER with appropriate user rights.

At the same time the technical activation will occur, allowing the USER to start using the platform immediately. The provision of access data constitutes approval of the registration request.

4. Scope of user rights

a. TEQPORT offers registered USERS the use of the product range it produces and manages.
b. The scope of user rights is determined by the contracts concluded between TEQPORT and its authorised users or their companies. The contracts set down the relevant access levels and associated user rights. TEQPORT reserves the right - taking the concluded contracts into consideration - to amend the model and conditions at any time.

 
5. Duration of use
a. Use can occur for an indefinite period. TEQPORT is entitled - provided nothing else is agreed in separate contracts - to terminate the right of use the with a notification period of 10 days.

b. Regardless of this TEQPORT has the right to extraordinary termination of the right of use for good reason at any time. There is an especially good reason for such extraordinary termination if

● the USER breaks these terms of use (with demonstrable intent or due to gross negligence) or

● the USER gave false information on registration, or
● the USER is unreliable in fulfilling concluded transaction or TEQPORT becomes aware of repeated culpable breaches of the contracts entered into via the auction area.  

6. Duties of the USER, database rights, other rights
a. The USER is obliged to use information provided by TEQPORT exclusively for its intended purposes and to refrain from any other misuse. It is a case of misuse especially if

● the platform is used to carry out transactions which violate law or common decency, or

● the use itself violates law or common decency or
● the use contains, represents or supports unfair business practices.
The USER shall inform TEQPORT without undue delay of any unfair business practices on the part of others which become known to him or her in using the auction area or implementing contracts.

b. Copyright and any other rights to all information published in the auction area and its design are legally protected and are reserved in full. The copying, dissemination, exhibition, reproduction or other use of the auction area or its contents is forbidden, in so far as this does not occur for personal, contractually compliant and appropriate use of the auction area.

The USER is entitled with TEQPORT’s permission to use the auction area in the normal course of business, according to these terms and within the limits contained in §§ 87 a et seqq. of the copyright act (UrhG).

d. The marking rights and trademarks entered in the auction area or used for it are subject to legal protection. They may not be amended or otherwise used. This also applies to references to such rights.

7. Links and other third-party content

Where reference is made in the auction area to another website or there are links to other websites run by third parties, TEQPORT accepts no responsibility for their content unless TEQPORT is aware of their content and it is technically possible and reasonable to prevent use of the links in the event of illegal content. It should be noted that the contents of websites run by third parties are third party content, of which TEQPORT explicitly does not take ownership and which has no influence on TEQPORT. We do not generally accept liability for such content.

8. Liability
a. TEQPORT is only liable for intent and gross negligence as well as breach of a fundamental contractual obligation. Fundamental obligations are obligations that must be met in order to enable the proper performance of the contract, and that the other contracting party regularly relies on or may rely on being met. aa. In the event of a slightly negligent breach of a cardinal obligation, TEQPORT’s liability is limited to foreseeable, contractually typical damages. TEQPORT shall not be liable for slightly negligent breach of secondary obligations. In the event of initial impossibility TEQPORT shall only be liable if it was aware of the hindrance to performance or its ignorance was down to gross negligence, unless this relates to a cardinal obligation. bb. The above exclusions of liability shall not apply in the event of fraudulent withholding of defects or for assumption of a quality guarantee, liability for claims as per product liability law or physical injuries (life, limb, health). This does not include any changes to the burden of proof to the detriment of the USER. cc. Where TEQPORT’s liability is excluded or limited, this also applies to the personal liability of its agents, employees, staff, representatives and subcontractors. Claims to compensation on the part of the USER for which liability is limited according to this clause, with the exception of claims arising from unlawful acts, shall expire in one year calculated from the beginning of the legal limitation period.
b. The USER commits to release TEQPORT internally at the first time of asking from all third-party claims, regardless of the legal reason, due to illegal actions by the USER or errors in content in the information provided by the USER. This applies in particular to breaches of copyright, data protection law, trademark law and competition law.

9. Data protection
TEQPORT only processes and uses the data collected within the scope of its “Online Auction” offer. TEQPORT complies with the data protection provisions of the Federal Data Protection Act (BDSG) and Telemedia Act (TMG) in the collection, processing and disclosure of personal data.

10. General provisions

a. The use of the auction area is subject exclusively to German law, under exclusion of UN sales law.

b. The place of jurisdiction for USERS who are businesspeople or people not resident in Germany shall be TEQPORT’s registered office; TEQPORT is, however, entitled to bring a suit against the USER at another legally permitted place of jurisdiction.

c. In the event that one or more of the above provisions are or become partially or completely invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that most closely reflects the recognisable economic purpose of the invalid clause. The same shall apply in the event of loopholes in these provisions.
